Legal Support Associate
Location: Uniondale, NY
Salary Range: $50,000 to $80,000 annually. Actual pay will be based on experience and other job-related factors permitted by law.
Our client is a reputable mid-sized law firm with offices in the tri-state area and Florida. This position offers a hybrid work environment with a 9-5pm schedule.
They are currently seeking a Legal Support Associate with experience in corporate transactional work. The ideal candidate will have 1-3 years of experience and will be based in Uniondale, NY. Responsibilities will include but are not limited to:
INCORPORATION
- Formation of various types of entities such as Corporations, PLLC's, LLC's, P.C.'s, non-profits, and partnerships.
- Formation of entities in New York and other states in the continental U.S.
- Checking availability of names and reserving names through the Department of State.
- Drafting and filing formation documents with the Secretary of State.
- Preparing organizational minutes, bylaws, and operating agreements.
- Arranging for the mandatory publication of newly formed LLCs.
- Obtaining and organizing minute books, corporate seals, stock certificates, and stock ledgers.
- Obtaining employer identification numbers from the IRS.
- Drafting corporate documents like Assignment and Assumption Agreements.
CORPORATE TRANSACTIONS
- Qualifying corporations to transact business in foreign states.
- Preparing Assumed Name Filings and Dissolution Certificates.
- Obtaining Good Standing Certificates from the Department of State.
- Ordering, analyzing, and preparing UCC, judgment, lien, and bankruptcy search results.
- Filing various SEC Form D filings with attorneys.
- Performing background searches on individuals and companies using Lexis.
- Conducting online research on various corporations.
- Proofreading and comparing documents from opposing counsel.
- Handling corporate department audit information requests.
- Assisting with Private Investigator licensing applications.
REAL ESTATE
- Preparing real estate transfer documents.
- Preparing leases and powers of attorney.
BANKRUPTCY
- Reviewing bankruptcy dockets and compiling various reports and updates.
- Preparing and filing various bankruptcy documents in State bankruptcy courts.
Requirements:
- At least 1 year of relevant legal experience.
- Excellent organizational and follow-up skills.
- Ability to handle multiple time-sensitive tasks.
- Keen attention to detail.
- Proficiency in Lexis, Westlaw, Microsoft Word, Excel, and Adobe Acrobat/Kofax Professional.
- Bachelor’s degree and/or Paralegal Certificate.
