Job Description

  • Provide assistance with federal securities laws, including compliance with the 1934 Act and handling registered and exempt offerings under the 1933 Act.
  • Support clients with SEC reporting and compliance issues.
  • Participate in venture capital and private equity financing transactions.
  • Conduct legal research, prepare documents, and offer guidance on securities regulations to clients.
  • Collaborate with experienced attorneys to develop innovative solutions for clients.

Qualifications

  • 2-5 years of experience practicing securities law.
  • Demonstrated skills in drafting, research, and analysis.
  • Strong judgment and ability to work well under pressure.
  • Entrepreneurial mindset with a focus on teamwork.
  • J.D. from an accredited law school with excellent academic achievements.
  • Licensed to practice law in Florida or eligible to take the Florida Bar exam in February 2025.
